Register a Zimbabwean company from Botswana

You can register and run a Zimbabwean company from Botswana without travelling. Ownership of a Zimbabwean company carries no residency or citizenship requirement, so a Botswana resident or a Botswana company can own one outright, subject to the reserved-sector rules that apply to any owner who is not a Zimbabwean citizen.

Who this page is for

Anyone registering a Zimbabwean company from Botswana. A Zimbabwean living in Gaborone or Francistown. An investor of any nationality based in Botswana. A Botswana company that needs a Zimbabwean entity to contract, invoice, employ or bid.

This is the route agents write about least and quote most vaguely. The answer that matters is the same one everywhere: who will own the company decides which statutory appointments it has to hold, and the questionnaire prices that rather than routing you to a call.

Documents from Botswana

We need an identity document or passport and a proof of address for every person going on the register, and registration documents for any company that will hold shares. What has to be certified, and by whom, depends on what is being registered and who is on the register, so we send you a document list with your estimate rather than a generic one up front. We do not publish a certification or embassy requirement we have not confirmed, because getting that wrong costs you a week and a courier fee.

Where an original has to travel, the leg is short and we plan it into the schedule.

Paying us from Botswana

Your quote carries a card pay link and is priced in United States dollars. Your bank converts at its own rate. Cards issued outside Zimbabwe are sometimes declined by the acquirer, and if that happens we send bank transfer details instead. You pay a deposit when the job is instructed and the balance when the work is done, before documents are released, and our fee and the government fee are separate numbers on every quote.

On moving money out of Botswana: exchange controls were abolished on 9 February 1999. That is a published position rather than advice, and banks across the region still apply their own documentation processes in practice, so allow for your bank asking what the payment is for.

Support hours

Botswana and Zimbabwe are both UTC+2 and neither changes its clocks, so our hours are your hours: Monday to Friday, 09:00 to 17:00.

Which vehicle from Botswana

The rule is the same wherever you are reading this. A Private Business Corporation is held by members under section 252(1) of the Companies and Other Business Entities Act [Chapter 24:31] and no section of the Act puts a residency duty on a member, which suits a single owner outside Zimbabwe. A Private Limited Company needs one director ordinarily resident in Zimbabwe under section 195(2) and a company secretary ordinarily resident in Zimbabwe under section 198(1), and it is the only route for a company registered outside Zimbabwe, because section 253(1) bars a body corporate from being a PBC member.

If you are not a Zimbabwean citizen, or the owner is a company registered outside Zimbabwe, you still get a price from the questionnaire rather than a sales call. Foreign ownership adds a mandatory Zimbabwean company secretary, a registered office in Zimbabwe where you have none, and notes on ZIDA registration and on reserved sectors that carry no figure and are not added to your total.

Frequently asked questions

Can a Botswana company own a Zimbabwean company?

Yes, as the shareholder of a Zimbabwean Private Limited Company. Section 253(1) of the Companies and Other Business Entities Act bars a body corporate from being a member of a Private Business Corporation, so the Private Limited Company is the route for a corporate owner.

What is the time difference?

There is none. Botswana and Zimbabwe are both UTC+2 all year and neither changes its clocks.

Is it hard to send the payment out of Botswana?

Botswana abolished exchange controls on 9 February 1999. Banks in the region still run their own documentation processes in practice, so expect to be asked what the payment is for. We invoice in US dollars with a reference that makes that easy to answer.

Do I have to be Zimbabwean?

No. Ownership carries no citizenship requirement. Foreign ownership adds a mandatory Zimbabwean company secretary, a registered office in Zimbabwe, ZIDA registration where foreign shareholding reaches 51%, and the reserved-sector limits in Statutory Instrument 215 of 2025, all of which appear in your estimate.
