Re-register a dormant Zimbabwean company

Zimbabwe moved its company register onto a new system under the Companies and Other Business Entities Act. Statutory Instrument 108 of 2025 set a re-registration deadline of 20 April 2026; Statutory Instrument 76 of 2026 moved it to 20 April 2028. The deadline moved, the backlog did not: companies that let annual returns lapse still clear them manually before they can join the new register.

Who this is for

A very common story: a company was registered in Zimbabwe years ago, it traded for a while, the family moved, and nothing has been filed since. The name is still yours on paper, the certificate is in a drawer somewhere, and now you want to use it again, or sell an asset it holds, or simply stop it being a problem.

The registry has been moving companies onto the register kept under the Companies and Other Business Entities Act. Statutory Instrument 108 of 2025 set the re-registration deadline at 20 April 2026. Statutory Instrument 76 of 2026 amended it and moved the deadline to 20 April 2028. The deadline moved; the backlog did not. Reporting on the transition describes a hybrid digital and paper process in which companies with historical gaps clear outstanding annual returns manually before they can join the new system, and an extra two years has not shortened that queue for anybody.

Do not read the new date as a reason to wait. What decides the cost of your job is what the register holds against your company today, and every year you leave it is another annual return to file. We check the actual position of your company on the register before we quote you anything beyond the base fee.

What is included

If the register shows your company in a state we cannot fix through the normal route, we say so and refund the deposit rather than billing you to discover it.

What we need from you

  1. The company name and registration number. A photograph of the old certificate is usually enough.
  2. Who the current owners and directors are. Including anyone who has died or left, because that changes the filing.
  3. Identity documents. For the people who will be on the register at the end of the process.
  4. A Zimbabwe address. For the registered office.

The arrears question

Annual returns are the filing most dormant companies are behind on. They are filed per year, they carry their own cost per year, and no agent can tell you how many are outstanding without looking. That is why re-registration is quoted as a base fee plus whatever the register shows, and why we look before we invoice.

Once the company is current, the annual return becomes a single dated obligation each year. We track it against your incorporation anniversary and quote the renewal before it is late, which is the whole point of the retainer.

Frequently asked questions

My company has not filed anything for years. Is it gone?

Usually not, but it may be in the manual clearing route rather than on the digital register. The first step is a register check, which tells us what is outstanding before anyone quotes you a total.

What is the re-registration deadline?
